Capital Markets
Alessandri advises domestic and foreign clients, global investment banks and asset management companies on capital markets and investment matters. Our services include advice relating to mutual funds, alternative investments, including hedge funds, private equity funds and institutional investors, in particular pension funds.
We advise asset management companies in connection with their investments in Chilean capital markets (Cartica, Sailingstone), as well as alternative investments (TIAA-CREF). We have also sponsored the main placements of foreign private equity funds in Chile (KKR, Goldman Sachs, Coller Capital, TPG, Panteón, Och Ziff, Cinven, Oaktree, Hudson / LoneStar) in many cases working closely with the global advisors of some of these firms (Linklaters, Debevoise and Plimpton, Morgan Lewis and Bockius Cleary Gottlieb Steen and Hamilton). These placements were made through local feeder funds.
Insurance
Alessandri has provided ongoing advice to local insurance companies in connection with the registration/deposit of new general policy conditions, as well as advice in connection with insurance products not subject to registration/deposit. Our experience in relation to new insurance products includes personal accident and health, D&O, errors and omissions, firearms, civil liability, livestock, surety, credit insurance, life insurance with savings, etc.
Our experience also includes advising on corporate governance and regulatory matters for insurance companies, having advised, for example, in the establishment of corporate governance and risk management policies for Chilean insurance companies. In addition, we provide advice to insurance companies in connection with the regulations applicable to their investments, in particular their statutory capital and technical reserves. We have advised on the corporate governance and regulatory aspects of capital increases and corporate reorganizations of such companies.
The managing partner of our Insurance practice area, Felipe Cousiño is a member of both the Legal Committee and the Compliance Committee of the Chilean Insurers Association – AACH, having been awarded by the latter for his work in the aforementioned Legal Committee.
Our litigation attorneys are experienced in handling coverage nullity claims and other insurance litigation, and are generally familiar with and prepared to handle complex domestic and international litigation cases before ordinary and arbitration courts.
Alessandri’s team obtained the existence authorization from the Chilean Financial Market Commission (CMF) for Euler Hermes Seguros de Crédito S.A., a subsidiary of Allianz, and also for Aseguradora Porvenir (ASPOR), a joint venture formed by former executives of Aseguradora Magallanes and by Navigators (now The Hartford).
Our team provides advice on insurance, corporate governance and regulatory matters to ASPOR, and previously advised Chubb and Euler Hermes.
We have registered in Chile several reinsurance companies and advised foreign insurance brokers in the acquisition of local insurance brokers (Colemont/THB/AmWINS). We have also formed and registered the reinsurance subsidiary of THB.
